Tokenized stocks without tokenized votes are just IOUs — Broadridge is fixing that

Tokenized shares on NYSE's planned digital securities platform will carry real shareholder voting rights, after Broadridge Financial Solutions said on November 2, 2026 that it will provide onchain governance and digital transfer agency services for the exchange, in an announcement from the company.

A token without governance is a claim ticket. It can be traded, but it says nothing about who owns what in a company's official shareholder register or how a vote is counted. Broadridge's job on the NYSE project is to close that gap: the company will connect tokenized shares with proxy materials, voting rules and verified ownership records, so a holder of a tokenized stock can vote in company decisions the same way a holder of a conventional share does.

The @NYSE's network of transfer agent partners is expanding.

How the voting would work

According to the announcement, investors would cast votes through supported digital wallets, brokerage platforms or Broadridge's existing ProxyVote system. The company's contribution includes smart contracts that enforce governance rules, proxy voting systems and tools for authenticating digital wallets. In plain terms, the software has to confirm that the address holding a token really corresponds to an entry in the shareholder register before its vote counts.

This is not Broadridge's first onchain proxy vote. The company's ProxyVote platform already processed a blockchain-based shareholder vote in May 2026 for Galaxy Digital, with votes executed on an Avalanche-based layer-1 blockchain. That run doubled as a proof of concept for the larger NYSE work now being assembled.

Broadridge chief executive Tim Gokey framed the appointment as a bigger step than a single feature. Broadridge is building the governance layer for tokenized equities," he said in a statement.

Why governance is the hard part of tokenization

NYSE first outlined its tokenized securities platform in January 2026, with plans for 24/7 trading, instant settlement and stablecoin funding, all subject to regulatory approval. Trading tech gets most of the attention, but shareholder rights are what make a tokenized share a share rather than a derivative on one. Securitize was named the initial digital transfer agent in March 2026 through a memorandum of understanding with the exchange. The governance work is part of a broader buildout of money plumbing onchain: HSBC and Ant Digital, for example, completed a micropayment test on tokenized deposits earlier this year.

Broadridge will keep running its traditional transfer agency business for conventional equities alongside the tokenized work. That continuity matters, because issuers are not about to move their whole shareholder base onchain at once, and the transfer agent is the bridge between the two.

The platform itself is not live. It remains subject to regulatory approval, and Broadridge's services are tied to that approval coming through, so no onchain NYSE vote is scheduled yet.
